Experience
Molly’s practice focuses on the executive compensation, employee benefits, and labor aspects of mergers and acquisitions, spin-offs, IPOs, joint ventures, and other complex transactions. She advises clients on the design, drafting, and implementation of a wide range of compensation arrangements, including profits interests, stock options, phantom equity and other equity-based incentives, deferred compensation, bonus, and other cash incentive plans, employment, change-in-control, retention, restrictive covenant, and separation and release agreements. She also counsels clients on compliance with the Internal Revenue Code, including Sections 280G and 409A, as well as federal securities laws, exchange regulations, and corporate governance matters.
Molly works with a broad range of clients with diverse needs, including management teams, individuals, private equity sponsors, other law firms, portfolio companies, and other public and private companies. Her experience assisting across constituencies gives her a market-informed perspective and pragmatic approach to negotiating and resolving issues effectively.
Molly is a member of the New York Junior League. In law school, she served as Production Editor of the University of Pennsylvania Law Review.
