Experience
Brian is a proven and dependable advocate for his clients, helping them negotiate, structure and implement sophisticated executive compensation arrangements, including equity and equity-based, carried interest, deferred compensation, employment, consulting, change-in-control, bonus, termination, severance and release agreements, plans and programs.
Brian has extensive executive compensation experience in the context of mergers, acquisitions and other strategic transactions. In both the counseling and transaction-based areas of his practice, he frequently advises clients on complex issues arising under the Internal Revenue Code, including Sections 280G and 409A, as well as federal securities laws, exchange regulations and related corporate governance rules.
Brian advises a wide range of clients with varying backgrounds and needs, including management teams, individuals, private equity sponsors, other investment firms, portfolio companies and other public and private companies. This experience informs his practical, market-based approach to negotiating and resolving issues from all angles.
